2. Services Agreement

All services provided by NexGenAiTech are subject to a separate written agreement that will include:

• Detailed description of services and deliverables
• Project timeline and milestones
• Payment terms and schedule
• Intellectual property rights
• Confidentiality provisions
• Acceptance criteria

Project Initiation

A project is considered initiated when:

• A signed agreement is received
• The initial payment (if required) is made
• All necessary project requirements and materials are provided by the Client

3. Payments and Fees

Pricing Structure

Our services may be priced as:

• Fixed Price: A set price for defined scope and deliverables
• Time and Materials: Based on actual hours worked at agreed rates
• Retainer: Monthly fee for ongoing services

Payment Terms

Unless otherwise specified in the project agreement:

• Invoices are payable within 15 days of receipt
• Late payments may incur interest charges of 1.5% per month
• We reserve the right to suspend services for overdue payments

Changes to Scope

Any changes to project scope must be agreed upon in writing and may result in additional charges or timeline adjustments.

4. Intellectual Property Rights

Client Materials

The Client retains all rights to materials provided to NexGenAiTech for the project, including logos, content, data, and pre-existing intellectual property.

Developed IP

Unless otherwise agreed in writing:

• The Client owns all intellectual property created specifically for their project
• NexGenAiTech retains rights to background technology, frameworks, and tools used in development
• NexGenAiTech may reuse non-client-specific code, libraries, and techniques in other projects

Open Source Software

We may use open source software in projects. The licensing terms of such software will apply to the relevant components.

5. Confidentiality

Both parties agree to:

• Keep confidential information secure
• Not disclose confidential information to third parties without consent
• Use confidential information only for the purposes of the project

Exceptions

Confidentiality obligations do not apply to information that:

• Is or becomes publicly available through no fault of the receiving party
• Was already known to the receiving party before disclosure
• Is independently developed without reference to confidential information
• Must be disclosed by law or legal process

6. Warranties and Limitations

Service Warranty

We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards.

Limitation of Liability

To the maximum extent permitted by law:

• NexGenAiTech's total liability shall not exceed the fees paid for the specific project
• We are not liable for indirect, incidental, or consequential damages
• We are not liable for third-party services or components

No Guarantees

While we strive for excellence, we do not guarantee specific business outcomes, revenue increases, or other business results from our services.

7. Project Management

Client Responsibilities

The Client agrees to:

• Provide timely feedback and approvals
• Make key personnel available for meetings and decisions
• Provide necessary materials and access in a timely manner
• Designate a primary point of contact

Communication

Regular communication will be maintained through agreed channels (email, project management tools, meetings).

Changes and Delays

Client-caused delays or changes may affect project timeline and costs. These will be communicated and agreed upon in writing.

8. Termination

Termination for Convenience

Either party may terminate a project with 30 days written notice. Upon termination:

• The Client pays for all work completed up to termination date
• NexGenAiTech delivers all completed work
• Each party returns or destroys the other's confidential information

Termination for Cause

Either party may terminate for material breach if not cured within 30 days of written notice.

Suspension

We may suspend services for non-payment, with services resuming upon payment of all amounts due.

9. Dispute Resolution

Good Faith Negotiation

Parties agree to attempt to resolve disputes through good faith negotiation before pursuing other remedies.

Governing Law

These terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Kushinagar, Uttar Pradesh.

Mediation

If negotiation fails, parties agree to attempt mediation before pursuing litigation.

10. General Provisions

Entire Agreement

These terms, together with any project-specific agreement, constitute the entire agreement between parties.

Modifications

We reserve the right to modify these terms at any time. Continued use of services after changes constitutes acceptance.

Severability

If any provision is found invalid or unenforceable, the remaining provisions remain in full effect.

Force Majeure

Neither party is liable for delays or failures due to circumstances beyond reasonable control (natural disasters, government actions, etc.).

Assignment

Neither party may assign rights or obligations without written consent, except to successors in business.
